Terms of Service

These terms govern your use of StaffFlow, timesheet-to-invoice automation software operated by Saichandra Bandi ("StaffFlow", "we"). By using the software you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.

What StaffFlow does

StaffFlow reads consultant timesheets from a mailbox you authorise, extracts the hours, files the documents into storage you own, and — on your explicit approval — creates invoices in a QuickBooks company you authorise. It is a tool that acts on your instructions.

Invoices require your approval. StaffFlow does not create an invoice in your QuickBooks company without a person approving that period first. Where the software cannot verify a figure or a customer, it declines to bill and tells you why.

Your account

Your responsibility for what is billed

StaffFlow reconciles every figure against the source document and declines to bill where it cannot. That is a safeguard, not a substitute for review. You remain responsible for the invoices issued from your QuickBooks company. Review each period before approving it. Once an invoice exists in your books, it is yours.

Acceptable use

Third-party services

StaffFlow depends on services operated by others — including Microsoft, Intuit, and OpenAI — and their availability is outside our control. Your use of QuickBooks remains governed by your agreement with Intuit. The processors that receive data are listed in the privacy policy.

Intellectual property

StaffFlow's software, and any improvements to it, remain ours. Your data remains yours. Configuration, timesheets, hours, and invoices are your property, and we claim no ownership of them.

Availability

We aim to keep StaffFlow running, but we do not promise uninterrupted service. Maintenance, upstream outages, and defects happen. Where the software is unable to verify something, it will hold rather than proceed — this may delay an invoice, and doing so is intended behaviour.

Fees

Where fees apply, they are set out in a separate written agreement between us. Pilot and evaluation use may be provided at no charge, and that arrangement may be ended by either of us on reasonable notice.

Termination

You may stop using StaffFlow at any time and revoke its access from within Microsoft 365 and QuickBooks. We may suspend or terminate access for breach of these terms, or where required by law. On termination, you may request deletion of your data, subject to the retention terms in the privacy policy.

Disclaimer and liability

StaffFlow is provided "as is". To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

StaffFlow is not an accountant, an auditor, or a tax adviser, and nothing it produces is professional advice. To the fullest extent permitted by law, our aggregate liability arising out of or relating to these terms is limited to the fees you paid us in the twelve months before the claim, or one hundred United States dollars if no fees were paid. We are not liable for indirect, incidental, or consequential losses, including lost profits or lost revenue.

Nothing in these terms excludes liability that cannot lawfully be excluded.

Changes

We may change these terms. If a change is material and affects an active customer, we will tell them. Continued use after a change means acceptance.

Governing law

These terms are governed by the laws of India, and the courts of Hyderabad, Telangana have exclusive jurisdiction, without prejudice to any mandatory consumer protections available to you where you live.
